1. Service Description: Conversion Catalyst provides comprehensive digital marketing services, including SEO, PPC, social media management, and content creation, designed to enhance online visibility and drive performance-based results.

2. Client Obligations: Clients must provide necessary access to digital assets and timely feedback to ensure campaign success.

3. Payment and Fees: Services are billed monthly. Performance bonuses apply when specific KPIs are met. Payment due within 30 days of invoicing.

4. Confidentiality: Both parties agree to maintain confidentiality regarding campaign details and client data.

5. Intellectual Property: Content created by Conversion Catalyst for campaigns remains the agency's property, licensed non-exclusively to the client.

6. Liability Limitations: Conversion Catalyst's liability for damages arising from services is capped at the amount paid by the client in the last 6 months.

7. Termination: Either party may terminate the agreement with 30 days' notice. Unresolved payments remain due.

8. Dispute Resolution: Disputes will be resolved through mediation, then binding arbitration in [Location].
